We negotiate MCA settlements for a living. When a file comes in with a reverse consolidation attached, the balance is bigger, the lien picture is uglier, and the business owner has less leverage than if they had called six months earlier. Here is why.
It is not a consolidation
A real consolidation pays off your existing debts and replaces them with one new obligation. A reverse consolidation does not touch your existing advances. Every one of them stays open, stays accruing, and stays secured. The new funder simply feeds you the cash to keep servicing them.
Strip the branding away and you have taken a fourth or fifth advance to make payments on the first three. The industry has a word for that. It is stacking. The product is stacking with a payment schedule attached.
You pay a factor rate on money used to pay factor rates

Read the agreement. The funder controls the weekly disbursements, and the contract gives them broad discretion to suspend funding on a missed payment, a dip in deposits, a new lien filing, or a vaguely worded material adverse change.
This is the mechanism that turns a bad deal into a catastrophe. Under a normal stack, one advance can default while you keep the others current and negotiate the problem file. Under a reverse consolidation, your entire payment apparatus runs through one counterparty. The day they pause disbursements, every underlying advance misses its payment simultaneously. You go from current on four positions to defaulted on four positions in a single week, and now the underlying funders freeze your merchant accounts, send UCC notices to your customers, and file suit while the reverse consolidator pursues you too.

Taking the deal may itself be a breach
Most MCA agreements contain an anti-stacking clause prohibiting additional advances without consent. Signing a reverse consolidation frequently violates that clause on day one. Some underlying funders will not notice. Others monitor UCC filings specifically to catch it, and a breach gives them grounds to declare a default and accelerate even while you are paying on time.

It resets a clock that was almost done running
Most merchants who look at reverse consolidations are past the midpoint on their existing advances. Another eight or twelve weeks of pain and one or two positions would have paid off, shrinking the daily burden on their own. Ask why a funder would happily wire weekly money to a business already carrying three or four advances. Businesses in that position have no cheaper options and will accept any factor rate, and the funder sits first in line at your bank account going forward, watching every deposit. Approval is not a sign the deal is sound. It is a sign you fit the profile of someone who cannot say no.
What actually reduces the debt
A reverse consolidation increases your total obligation. Settlement decreases it. Those are the only two directions this can go, and they are not close.
MCA balances are negotiable in a way the sales rep never mentions. Funders discount because their contracts carry real vulnerabilities: reconciliation clauses they never honored, purchase agreements that courts can recharacterize as usurious loans, damages theories that overreach. A funder facing a merchant with counsel and a documented hardship will routinely accept a fraction of the claimed balance rather than litigate. That option gets weaker after a reverse consolidation, not stronger. The balance you need to settle is larger, there is an additional secured creditor at the table, and the cross-default structure means you negotiate under threat from every position at once.
