Reserve Advance Lawsuit: How These Cases Usually End

The question is not only how the case ends, but what it leaves behind when it does. Six endings: a settlement with a full release, a payoff in full, default judgment, dismissal without prejudice, a recharacterization ruling, and a bankruptcy that stops the case and not the guarantee.

When Reserve Advance, a merchant cash advance funder, files a lawsuit against its customer, the outcome is usually a payment settlement, a judicial award, or a default judgment. Once the case is in court, the business has three options. It can fight the suit using a lawyer. It can negotiate a payoff, if Reserve Advance is willing. Or it can do nothing, letting the merchant cash advance provider take a default judgment against it and possibly seizing the owner’s assets through a levy or lien.

In June 2026, the New York Attorney General sued Rapid Ruling, a private company that arbitrates cash advance contracts. The AG’s press release says they looked at about 3,000 Rapid Ruling cases where a small business borrowed. 97 percent of the time the business didn’t appear to defend, and the lender got a ruling in its favor.

Summons and Complaint

Find the court and index numbers, names of the plaintiffs and defendants, who is the plaintiff’s lawyer, and make a note of how the papers were served and when. Anything that’s part of the summons and complaint belongs with it; don’t throw away any pages, exhibits, or envelopes. Some judge might someday need to see that you were served, when, and how.

In New York, a summons delivered to you in person gives you twenty calendar days to respond. If you’re served outside the state or otherwise receive the papers by another method, you must respond in 30 calendar days. The deadline to respond is not necessarily from when you first open the mail and see the papers. Check the rules of the court where the case is filed.

Calling or negotiating with the funder does not extend this deadline. If you don’t respond, the mca company can proceed with a default judgment. However, under New York state law, the debtor can reopen the default judgment if it had a reasonable excuse for failing to file the answer. You must do so within one year of notice that the judgment was entered.

Start by finding the correct court and judgment. Get the record for the case at the courthouse or online. Look for facts that show what the case was about, how the creditor served you and what you did in the case. Whether the outcome can be reopened depends on the local law, if the debtor has a decent reason for not filing an answer in the past, and any defenses to the case’s merits.

Confession of Judgment

If the borrower signed a confession of judgment, the merchant cash advance company can file the document and get an award without a lawsuit. A confession of judgment is a sworn affidavit that skips the lawsuit. Instead, the creditor files it in the county where signer lived when signing or lives now. To be valid, it must be filed within three years of signing.

In August 2019, the legislature overhauled the law regarding out-of-state debtors. No out-of-state affidavit can use a New York county for the judgment unless the signer lived in the county when signing or lives there now. The new law is immediate, and the provisions cover affidavits filed August 30 or later. That’s not all. An out-of-state business “resides” in any New York county where it runs a shop, so the affidavit can still be used there.

Whether the out-of-state affidavit should be allowed will turn on state law. An answer will require researching the borrower’s home address at the time of signing, checking the county where it was filed, and how the affidavit was done. It also turns on the wording of the contract. Asking around at the clerk’s office won’t be good enough to go on. One or more lawyers will need to sort this out. Making a challenge does not by itself halt collection.

A restraining notice, another collection tool, goes to a bank, or any financial institution, and instructs it to freeze assets. Like a wage garnishment, it’s only useful if it arrives when there is something to grab. If the debtor has a zero balance in the account, the bank has no money to hold.

UCC filings, subpoenas and a restraint are all separate documents. Each one does different things, so you must know which one it is. Don’t move the money without advice.

Sometimes a merchant cash advance company can tell your customers or processor to pay it without a judgment first. But the rights it says it has must come from the particular agreement it relies on. Make sure the one it relies on is the right one.

The main defense argument is that the so-called advance is actually a loan, which carries interest. Calling it an advance does not decide it. There’s no easy definition that one side or the other can say to win their lawsuit. Since the money funder insists it isn’t lending money, a judge asks three questions (LG Funding, 2020). First, does the contract have a reconciliation clause? Second, does it specify an end date? Third, must the borrower repay if the business fails? The First Department appeals court agreed to the same legal test in February 2026. That matters, because if the deal is a loan, criminal usury kicks in. Felony charges apply to anyone who “knowingly charges” more than 25 percent a year.

Compare what happened with the conditions for a payment. Did the contract need a drop in revenue to trigger anything? Look at how you responded. Did you report the revenue drop? Send in bank statements? Review the filed balance. Does the claimed amount make sense? Review how much the advance covered, and how much has been repaid, as well as looking at any reconciliation figures. You need a record showing any pay-ins, credits, payment changes, or payment history.

A personal guarantee is a separate, binding promise, and the owner should have a copy. All versions are not equal. A guarantee of the business’s performance differs from an unconditional payment promise. Also, the business and its owner may not want the same thing.

When a lawyer represents you, he or she may use any legally correct method to fight the lawsuit. This includes answering, filing motions, seeking discovery, negotiating or attending a scheduling conference. A motion to dismiss doesn’t mean the action will go away, either. Legal deadlines keep coming, so unless the plaintiff folds, the case will keep going until the judge takes action on the motion or the debtor or lawyer does something else.

The January 2025 New York Attorney General’s settlement with Yellowstone Capital canceled $534,552,724 in debts. If it covered other companies, it would have said so. Rather, it erased the debt of every customer of Yellowstone Capital, and not any other firm. If the borrower dealt with more than one lender, it has to deal with each one on its own.

Filing a bankruptcy petition triggers a stay, an automatic stop to lawsuits over debts that predate the bankruptcy. The stay generally doesn’t halt government enforcement actions or criminal cases.

The lender may offer to drop the lawsuit if the borrower pays. A deal is only part of your financial picture, though. Think through what you’ll have to give up and how much you’ll get in return. A lower payment may be welcome, but it will still be hard to make and it still leaves a lot owing. If you sign a deal that’s a big drain on your wallet, does that leave enough money for other debts, or will it put you in default with everyone else?

Before sending money to a settlement company, find out if a lawyer has signed up to defend the case. If not, the borrower can lose the case through default. An introduction to a lawyer is not a substitute for the lawyer putting in an appearance, and negotiating and defending a lawsuit are different jobs.

Review the settlement paper with extra care and make sure the balance, payment dates and credit for money taken from the company’s account are correct. Double-check that it covers your business, the owner, the precise claims and contracts at issue. You want everything in writing, or you can wind up with less of a deal than you thought. The deal should put into words a permanent end to the lawsuit and claims. You might need the deal to cover the commercial guarantee, a judgment and bank restraints. It should provide for releasing UCC filings too.

A settlement is a good deal if it works for you, if you can handle the payments, and if it does not carry extra risks that you must pay on default. You need notice that says you’re in default, and a chance to fix the problem or pay what’s due and get back on schedule.
