MCA Debt Relief Options in Tennessee
Tennessee’s usury statute, consumer protection framework, and prohibition on confessions of judgment provide MCA borrowers with meaningful legal tools to challenge agreements that function as high-cos
If you own a business in Tennessee and owe a merchant cash advance, you have choices for relief. Those choices are reconciliation under the contract, restructuring, settlement, consolidation or refinancing, and bankruptcy. Which one makes sense depends on your documents, cash flow, and what stage you’re at in the dispute. There are firm deadlines if you’ve been served with court papers, and you’ll have to act or hire someone to act.
Dealing with the danger starts with knowing where it is. That’s where it’s easy to get lost and for things to spiral out of control. Keeping things together takes understanding how these cases proceed and then assessing which part you’re in so you can formulate an action plan. Falling sales, a bounced MCA withdrawal, a funder’s default notice and a complaint filed in court are separate. A default notice isn’t proof of what’s owed, just the lender’s version of what happened. And if you’ve been served, calling the funder won’t extend your time to answer.
A funder might send UCC notices asking customers or processors to pay it directly, and some recipients will hold money. A bank restraint or levy usually follows a court judgment. If funds are frozen, identify which document caused it.
Tennessee Law
Tennessee has no law at all requiring disclosure on commercial finance transactions, and no registration for funders or brokers. That means a merchant cash advance provider need not state its Annual Percentage Rate on a contract.
Tennessee law makes a confession-of-judgment provision void if it’s signed before a lawsuit is filed and served, and no judgment can be based on it. But Tennessee’s Court of Appeals in 2020 (Capital Partners Network v. TNG Contractors) said a New York confession-of-judgment judgment must be enforced if the debtor knowingly and voluntarily waived notice and a hearing. Since August 30, 2019, New York requires any confession of judgment to be filed in the county where the debtor resides or, for a business, has a place of business. So check whether you or a guarantor signed a confession of judgment. See who signed it, which state’s procedure it says it relies on, and whether anything has been filed.
If a Tennessee court decides your MCA was a loan, the usury limit for a written contract as of October 2026 is 11 percent a year. That argument isn’t just theory. New York’s attorney general announced in January, 2025, that Yellowstone Capital had wiped out $534,552,724 in merchant debts nationwide after the state alleged the lender’s cash advances were loans in disguise, at rates as high as 820 percent. Also note that Tennessee’s general statute of limitations for written contracts not covered by another state law is six years after the claim accrued.
Different Ways Out of Trouble with an MCA
Before choosing one, start by plotting future cash flow: what money will come in for certain, what must go out without fail, what you still owe on every MCA. When do you fall short? What’s keeping you short: a normal dip in cash flow, a market slowdown that may pick up again, or a permanent shift in demand? Exclude sales you’re not certain of and loans not yet approved.
If your advance was based on a percentage of receivables, it might include a reconciliation clause that adjusts the withdrawals to your actual revenue. Look for deadlines for asking, which documents are required, where to send them, and the calculation. Keep copies of your request and of all responses you get. Asking for reconciliation doesn’t suspend automatic withdrawals from your bank account or waive any default under the terms.
Asking for reconciliation isn’t the same as asking for a new payment arrangement. And that is different from asking for temporary forbearance. Know which is which. If a change is offered, get a plan from them in writing spelling out: How much, for how long, what happens to missed payments, and what your situation is when the plan ends.
Apart from remedies in the contract, you might be able to restructure or settle the obligation as an alternative to payment in full. MCA restructuring is where an existing payment schedule is changed, either changing the amount of each payment, the timing of the payments, or temporarily relieving the obligation in some way. The terms should be in writing and spell out what changes and what doesn’t. A settlement resolves a specific obligation or claim; the agreement should detail the payment conditions, releases, and guarantees that go with it, as well as what happens to pending lawsuits. In general, a debt forgiven for less than you owe is taxable income. There are a few exceptions, including the IRS’s insolvency exclusion and cancellation in a bankruptcy case.
MCA consolidation or refinancing is just new financing to pay existing MCAs. Be sure it really replaces what you owe, in full, and check the total cost and the new guarantees. A “reverse consolidation” or agreement that doesn’t actually pay the funders now could leave your old obligations in place.
If you’re thinking of changing bank accounts, blocking withdrawals, redirecting receipts, or moving assets, talk to someone who knows the law first. Changing a bank account or adding a second card processor doesn’t settle your obligation. If an MCA withdrawal looks unauthorized or differs from the agreement, save the transaction details and contact the bank right away about its dispute procedures and deadlines. And when you talk to customers and vendors, keep it to what’s actually true: never claim a lien is released unless it actually is. With a personal guarantee, be aware who signed and what triggers it, for a business only, you personally only, or both.
If your Tennessee business can’t keep up its obligations and collection threatens the firm’s existence, talk to a bankruptcy lawyer early on. In general, Chapter 7 is liquidation and Chapter 11 is for reorganization. Chapter 13 is for individuals with regular income, including some sole proprietors, but not corporations. Look at whether Subchapter V small-business Chapter 11 could help. It’s available only if the total debts are $3,424,000 or less (adjusted every three years), and the plan is due within 90 days after the order for relief, unless extended. Only people, not companies, get a discharge in Chapter 7, so an LLC’s MCA debts remain. A business filing doesn’t automatically settle the personal guarantees of the owners. In a Tennessee personal bankruptcy, a single owner who guaranteed an MCA can generally protect up to $35,000 of home equity under the homestead exemption. Ask a lawyer how a bankruptcy might affect continuing operations, secured collateral, ongoing litigation and guarantees.

- Check what kind of notice the contract says you’re entitled to.
- Don’t sign anything a collector gives you under pressure.
- See a lawyer about next steps.

FAQ: MCA Debt Relief
Are the companies listed above law firms?
No. All three companies listed are debt relief or debt settlement companies, not law firms. They negotiate with MCA lenders on your behalf. If you need legal representation for litigation or court proceedings, you should consult a licensed attorney.
How much can I expect to settle my MCA debt for?
Settlement amounts vary based on the funder, the terms of the agreement, and the leverage available. Typical settlements range from 40% to 70% of the outstanding balance. Businesses with strong legal defenses may achieve better results.
How long does the MCA settlement process take?
Most settlements are reached within 3 to 9 months, depending on the number of funders, the complexity of the agreements, and the negotiation dynamics.
Can I stop ACH payments to my MCA company?
You can revoke ACH authorization with your bank, but this should be done strategically and ideally with professional guidance. Stopping payments without a plan can trigger aggressive collection actions.
Will MCA debt settlement affect my credit?
MCA agreements are commercial transactions and typically do not appear on personal credit reports. However, if you signed a personal guarantee, a default could affect your personal credit. Settlement generally resolves the obligation and any associated liens.
What is the difference between MCA debt relief and bankruptcy?
MCA debt relief involves negotiating with funders to reduce the balance owed, while bankruptcy is a legal proceeding that may discharge or restructure debts. Debt relief typically allows the business to continue operating without the stigma or credit impact of bankruptcy.

Delancey Street works with Tennessee businesses because MCA contracts don't follow the same rules as traditional loans - and their attorney-founded team knows exactly where the leverage points are.
