A demand letter from E Advance is not the same thing as an actual lawsuit. If you have a demand letter, that means the situation is still largely in your control. No judge or jury has passed judgment and you have not been found liable for anything. The demand letter is just the merchant cash advance company asking for money. A lawsuit, by contrast, means the situation is no longer in your control. The merchant cash advance company has gone and asked a judge to get involved. Typically, the company will have to serve you the complaint to let you know that you’re being sued. The result of these two actions is substantially different.

1. Read what arrived

Read the envelope that arrived in the mail or email. Look and see if it’s from the merchant cash advance company, a lawyer, or a collection agency. You should take it very seriously, but you should not automatically assume that the letter is accurate.

Lawsuit papers usually look like they came from a court. They have a case or index number and the name of the court and will give you the names of the people being sued. Be sure to check whether the business, the owner, or several entities are named as defendants. Save everything: you want the summons and the complaint, but also the envelope it came in or the e-mail, because those may hold clues as to whether it was served properly.

2. Watch the clock

Demand letters don’t have a court deadline. You will get one if the company sues you. Lawsuits have a deadline based on what court the lawsuit was filed in, which papers you got, and how the company got those papers to you. The date to respond can depend on the particular court, but it’s not just the date you received it.

If someone sues you in New York, you have 20 days to respond if they deliver the papers to you in person. If they use a different method of service, you have 30 days after service is complete. In federal court, you need to answer within 21 days of service. If you are getting sued, calling the merchant cash advance company or its attorney, asking for financing terms, or trying to settle does not extend the deadline. Get an attorney to check the deadline to respond if you’re not sure.

3. What silence costs

If you ignore the lawsuit, then the other side can get a default judgment against you. In New York, if the plaintiff is asking for a fixed amount of money, it can get a default judgment against you any time up to a year after you defaulted. If you think you have a default judgment against you, get the court record.

Silence Has a Price

Once you’re defaulted, you’re well advised to get a lawyer to look at your options. You can challenge the judgment, see if you can negotiate with the merchant cash advance company, or look to see if you can get enforcement paused. Unfortunately, none of those are guaranteed to work, and some may not even be available. For example, just getting the court to consider a challenge to the judgment does not automatically mean collection will pause while it’s being considered.

4. Who can touch your money

A demand letter doesn’t mean a court or a sheriff will help collect that money. A judgment has much stronger implications. It means a court has found you or your business owes money to someone. In New York, after the creditor’s attorney serves the bank with a restraining notice, your bank will have to freeze the account for up to a year.

Be careful when you check the bank because a bank account doesn’t just freeze on its own. Your bank should have received some kind of notice that says money in your account should be held. If your account’s been frozen, ask the bank what it received.

A judgment isn’t the only way a merchant cash advance company can try to get paid. Even with no judgment, your customers or processor may be told to pay it instead of you. When you’re wondering if the demand to pay a third party is valid, look at who sent it and what it relies on for authority to demand payment. Getting a notice in the mail doesn’t make it legitimate. Take no action until you talk with someone about the real consequences of the demand.

A judgment can enter without any of the ordinary lawsuit formalities. New York does allow for what’s called a confession of judgment. This is a signed paper that can get filed in a court of law that says you owe a company money. It can be filed within three years of the date you sign the paper. It must be filed in the county you listed or where you live, and a business lives where the business has a place of business.

Arbitration is another route to a judgment. In June 2026, the New York Attorney General brought a lawsuit against Rapid Ruling, a private arbitrator. New York accuses Rapid Ruling of holding about 3,000 arbitrations on behalf of merchant cash advance companies. But 97% of those arbitrations didn’t have the business owner show up. If you don’t show up, you could have an arbitration award turned into a court judgment.

5. Who handles it

You can talk with an MCA company, or whoever’s collecting on the money, about what happened. But it’s important to understand that in a lawsuit, your response to the lawsuit and your payment negotiation are two different things. Before you hire an attorney to defend you, ask who is responsible for negotiating the payment. Also ask if the attorney is going to appear in court on behalf of the business, the owner, or multiple entities.

Who Handles It Changes

The federal Fair Debt Collection Practices Act is for people trying to collect consumer debts, for things that people buy for personal, family, or household use. It generally doesn’t cover business debts.

6. How settling works

The next step is deciding whether it’s better to defend the lawsuit or to offer to pay less than the amount owed. The right answer depends on how much cash flow you need right now, whether you can afford the payment, and what the consequences will be for missing the payment.

When you’re settling a lawsuit that has been filed, even if the case is not quite done, you want to make sure the settlement is in writing. The writing should say the full amount paid, the date, who the parties are, how a judgment will be satisfied, the release of any personal guarantees, the release of restraints and UCC filings, and what happens if the debtor misses a payment.

If you write a payment plan with one funder, it does not resolve a debt to another. Whatever the terms are in the payment plan, make sure you keep separate records for each agreement.
