Sued by Vital Cap: 7 Things That Happen Next

Nothing freezes automatically when a case is filed, and nothing protects you automatically either. The debits usually continue. The deadline runs. The seven stages below describe what actually happens next, in order, and where a business owner still has choices worth making.

Being sued by VitalCap can be a challenging and stressful experience. It’s important to know whether the VitalCap suit is a court case or an arbitration. There are different deadlines for responding. The clock starts ticking when the papers are served, and if you miss the deadline you can get a default judgment entered against you. That means your bank accounts could be frozen. Even then, it may still be possible to defend or settle the case.

1. Find out what arrived

The most important thing is to figure out what the papers are and who they are from. You may have received a complaint and a summons, or a demand for arbitration. It could have come by mail or it could have been hand delivered. A demand for arbitration is different; it is not a court case, but an arbitration. If it is an arbitration, it could be with Resolute Systems or another provider. The form you receive will indicate who it is with.

VitalCap is a trade name of Emerald Group Holdings LLC. A demand letter or collection email from VitalCap, even if it threatens a lawsuit, is not a court case or arbitration.

2. Watch the clock

The deadline depends on whether it is a court case or an arbitration. In a New York court case, you usually have 20 days to appear if the summons is handed to you in New York, and 30 days after service otherwise. If you get an arbitration notice with a 20-day warning, you have 20 days to ask the court to stop the arbitration or lose important arguments. These are the rules in New York State courts. Other courts and states have different rules. If you get a complaint, check the summons and court. Some objections can be lost if you don’t raise them in time. Calling or negotiating with the VitalCap lawyer does not extend these deadlines.

3. Save every page

Keep everything you receive. Each sheet of paper could make a difference. Write down the date when you got it, and who gave it to you. Keep the envelope it came in. The first page of the complaint usually has the court name, the index number, and the names of the parties. Look at the documents to see who they are suing. Find the financing agreement, the loan guarantee and bank statements. Try to find a payment history or the last bank statement with a charge or payment. If a settlement company or broker is negotiating, confirm that a lawyer has agreed to defend the lawsuit. Defending and negotiating are different jobs.

4. Expect your guarantee to matter

In a 2026 New York case, VitalCap bought $136,320 worth of future receivables for $96,000, and the owner had signed a personal guarantee. The owner of the business had requested that the court stop the arbitration. The court refused to stop the arbitration. Be aware that if you signed a personal guarantee, the creditor may pursue claims under the guarantee. A guarantee of performance is not an unconditional payment guarantee. The business may have defenses and so might the guarantor. If you signed a personal guarantee and your company was sued on a loan or financing agreement, you and your company may need separate lawyers to represent you in negotiations or court.

5. Question the balance

Compare your payment agreement and bank statements to VitalCap’s claim. A number on a demand letter doesn’t prove that is how much you owe. You may need to reconcile the balance and check whether any payments you made reduced your debt.

The agreement itself matters too, and calling the money a loan does not decide it. An appeals court in New York said in 2020 that in determining whether a legal agreement is a loan, courts usually consider whether there is a provision to reconcile payments, a finite term for repayment, and whether there is recourse in bankruptcy. However, a New York defense firm reports that in 2023 and 2024, multiple courts in New York denied VitalCap’s request for summary judgment in lawsuits, because the agreements might be criminally usurious loans. No defense is automatic, and you could need to check the facts, notice, agreement and the law.

6. Avoid a default judgment

If you don’t appear on time, you could get a default judgment. If it is against a guarantor, the creditor has to mail an extra copy of the summons “personal and confidential” at least 20 days before judgment. You have one year to ask the court to undo the judgment based on excusable default after you get served with a copy of the judgment and a notice of entry.

Some financing agreements include a confession of judgment provision. It may let the funder get a judgment without a contested lawsuit in some jurisdictions. In NY, a confession of judgment can only be filed in the county where you lived when signing or where you live at the time of filing, and within three years of signing. The clause is not automatically enforceable, and depends on the jurisdiction.

7. Plan for collection or settlement

After judgment, a restraining notice on your bank freezes up to twice the judgment amount for 1 year, unless it’s paid or vacated. In New York, judgments on business debt generally earn 9% interest a year. Settlement is still possible.

Before signing, confirm the total amount, when it is paid, who is included, whether the guarantee is released, how the lawsuit or judgment is ended, when bank freezes end and UCC liens are lifted, and what happens if you miss a payment. Be aware that one MCA funder settling doesn’t cancel another MCA.
