Served by Retail Capital LLC? 5 Deadlines That Decide the Case
Put all five deadlines on one calendar the week you are served. The answer date, the default window, discovery responses, motion dates, and the period for vacating a judgment. Cases are lost on calendars far more often than on arguments. This one takes twenty minutes to build.

Delancey Street reviews your agreements free and tells you in 24 to 48 hours whether the contract is vulnerable.
If Retail Capital LLC, the company behind Credibly, just served your business with a summons, the deadline that matters most to you right now is the Answer deadline. If you don’t respond by this deadline, the court might rule against you even if you have good defenses to the lawsuit.
In short: the deadlines to respond in court are often 20 or 30 days after service in New York, 21 days in federal court, and 28 days in Michigan if you are served outside it. But even if you miss the clock, narrow fixes may still be available.
1. Count your answer days
Retail Capital LLC, doing business as Credibly, is a New York limited liability company headquartered in Troy, Michigan, according to a 2017 court filing. According to Credibly’s website, its advances and working capital loans to California merchants are made by Retail Capital LLC. In New York, you get 20 days to appear if you’re handed the summons in the state. If served through the Secretary of State or nail-and-mail, you get 30 days. If they sue you in federal court, you get 21 days to answer after they served the summons. For a Michigan state court lawsuit, you have 28 days if you’re served outside the state, or by registered mail. Many, if not most, business agreements will specify New York law and a New York forum. The summons names the court in which you’ll have to appear.
2. Check the Secretary of State date
If Retail Capital LLC had the summons served through the Secretary of State, the service date isn’t the date you got it in the mail. Instead, it’s the date the state agency received it. Before entering a default judgment against a corporation served through the Secretary of State, the plaintiff must also mail a copy of the summons to the corporation’s last known address at least 20 days before a judgment.
3. Demand the complaint
If you get the summons without a complaint, you can demand a complaint by letter before your appearance deadline. The plaintiff then has to serve you with the complaint. Once you have it, you have 20 days from then to file your answer.

4. Move fast on a default
If the plaintiff wants a judgment against you, it must come to court within a year of your default. If a year and a day have passed since you missed your deadline and the plaintiff hasn’t shown sufficient cause, the court must dismiss the case for want of prosecution. If you let the time pass and the court enters a default judgment, you can still ask the court to set aside the judgment. If a New York court has already issued the default judgment against you and has served it to you with notice of entry of judgment, you have one year to file a motion to vacate the default based on excusable default.
If you were never personally served and didn’t appear to answer the complaint in time, and never got notice soon enough to respond, you need to both show a meritorious defense and get the court’s permission within one year of learning of the judgment, or within five years of the judgment, whichever is shorter. Once the funder has a judgment against you, it can go after your business bank account through a writ served on the bank.
5. Check the confession and the calendar
A confession of judgment, a written promise to pay a debt where the creditor can enforce it without suing you, cannot be filed in New York, since August 30, 2019, against a business entity that doesn’t have a place of business in the state. A confession of judgment can’t just be copied out of the file drawer. In New York, creditors must file these within three years of signing the affidavit. A confessed judgment by-passes the usual lawsuit and hearing. You might be able to attack it if the business confessing has no place of business in New York, or if the judgment was filed more than three years after signing the confession. A contract lawsuit must also be started within six years.
Avoid Some Mistakes
If your sales drop unexpectedly, it can pay to ask for a reconciliation, backed up with statements from the bank and the payment processor. A well-documented request under the contract can preserve your rights. Whatever the deadline is, you should keep the original contract, text and email messages between you and the broker, and any debit history for the account. Any settlement deal should not only satisfy the judgment, but also should release the lien and provide a UCC-3 termination.
You also want to avoid some mistakes, if you can. If you try revoking an ACH agreement, or closing your accounts, the lender could start default proceedings. Calling authorized debits “unauthorized” can be fraud; and moving money to a new entity can be seen as an “asset transfer.” On the other hand, if your company files a Chapter 11 or a Subchapter V bankruptcy case, you get an automatic stay of all creditor collection, including on judgments they already got.
A free contract review costs nothing and takes a day or two. Call (888) 837-7053, or send the agreements to Delancey Street for a straight read on your options.
