9 Terms in Your Redbow Capital Agreement That Matter Once Suit Is Filed

Find the funding confirmation and see what actually hit your account. Most merchants discover the wired figure was thousands below the stated advance. That gap starts the arithmetic argument. Then read reconciliation, the guarantee and the venue clause, and check the return date on the summons.

All business financing documents are long, and they’re written by lawyers to favor their clients. Even if you never skipped a single page when you signed, no one expects you to remember much of what was in it. However, the plain fact is that what is in your Redbow Capital agreement will influence how things play out.

In an MCA lawsuit, what matters most is how to decide the case and who gets the money. That is, where will the case be decided, and which state’s law applies? Is there an arbitration clause? What happens in arbitration? Did you sign a personal guarantee? How do you tell how much you owe? Did you agree to let them take money directly from your accounts? Did you consent to letting them put liens on your receivables? And could the contract itself be illegal?

1. Where the case is heard

Where the case will be decided and the law that applies to the decision have huge effects on how the case is decided. A forum clause determines which court the parties have agreed to let decide their dispute, while the choice of law clause determines which state’s law applies to the dispute. It is also important to know that being out of state does not by itself require dismissal of a lawsuit.

If you’re sued in New York, and the process server hand-delivers the lawsuit to you in person, then the law gives you 20 days to appear in the case or respond with a defense. But if you’re sued in New York and the process server leaves the lawsuit at your home or office, you’ll be allowed 30 days to respond. It is a serious mistake to rely on ongoing talks with the funder or its lawyer to give you extra time to defend the case in court. Some defenses can even get lost because they were not brought up or included at the right time.

As for where the case is heard, New York courts have their own rules on contracts with people from out of state. If you signed up for a merchant cash advance of $1 million or more and agreed to be sued in New York court under New York law, then a New York court can hear it there. Smaller contracts with New York law and forum clauses fall under other rules.

2. The arbitration clause

The arbitration clause can send a dispute out of court. As the New York Attorney General alleged in a June 8, 2026 suit, fine-print MCA clauses can route disputes to Rapid Ruling. In 97% of about 3,000 early cases, no small business appeared, the suit says.

3. A confession of judgment

These clauses basically say that a court can enter a judgment against you without allowing for a real case to be heard by the court. As of August 30, 2019, the law no longer allows judgment to be entered in New York on a confession, in most cases, against someone who does not live in New York or have a place of business in a county there. A business counts as resident in the county where it has a place of business. The confession of judgment can be filed up to three years after the document was signed. A common mistake is to assume that signing one in a state where they are legal makes it valid everywhere. But even though it may be void, getting a judgment tossed is not guaranteed.

4. The personal guarantee

In cases against a business owner who signed as guarantor, the guarantee and what conduct supposedly violated it are key. A guarantee of payment differs from a guarantee of specific performance. The claims against business and owner are reviewed separately, and they may need separate lawyers.

5. The balance they claim

The complaint and the contract won’t always match. The claim may be more than you owe. Compare what is in it and what you signed with what they’re claiming and what the math says. If some is said to have been credited, is that shown? Are the fees that are claimed correct, or do they add up to a different amount? If a different company files suit, is it shown that they have the right to enforce the contract?

6. The reconciliation clause

The deal was meant to change with how much you earned. Compare what happened to the contract. If income went down, was that on the books? Did you ask for an adjustment? Did you send receipts or records? Was it denied? Whether you called it an advance or a loan does not decide if it is one or the other. The U.S. Court of Appeals for the Second Circuit ruled in Fleetwood v. Richmond Capital in 2023 that having the funder alone pick the size of the payment was a sign that the deal was really a loan.

7. Fixed debits and bankruptcy

In Crystal Springs Capital v. Big Thicket Coin, a New York appeals court ruled in 2023 that a fixed $4,000 debit every business day with no duty to reconcile and the full balance due on bankruptcy was a criminally usurious loan and was void. The default judgment was wiped out.

8. The usury question

Criminal usury is the only form of usury New York law lets a corporation raise. That means collecting interest of over 25% a year knowingly.

9. Your receivables and customers

The letter telling your customers to start paying a funder instead of you can come before any judgment is entered. The key thing is who sent it, why they’re sending it, and how they back up the demand for money or a freeze on your accounts. Getting a demand does not always mean you owe the money. Before you change bank accounts, redirect accounts receivable or move assets to protect them, get advice from an experienced lawyer.

If you settle, any agreement to end the case should cover the full amount due, the schedule of payment, what entities, people and contracts are covered, and the release of any personal guarantees. The release must also show how the suit will end and whether liens and letters of demand on the customers will be released, and what happens if a payment is late.

A free contract review costs nothing and takes a day or two. Call (888) 837-7053, or send the agreements to Delancey Street for a straight read on your options.
