A Principis Capital Lawsuit: 6 Ways These Cases Usually End
Only one of these six endings is decided by a judge weighing the merits. The others are decided by a clerk entering a default, a funder pricing an early payoff, two lawyers trading numbers, a judge reading a defective pleading, and a bank deciding what your cash flow can survive.

There’s a lot at stake when you face off against Principis Capital. Though the process can be stressful, most lawsuits filed by Principis Capital against small businesses end in one of six ways. Here is how cases over defaulted merchant cash advances usually end.
1. A default judgment
If you don’t respond to the lawsuit brought against you by Principis Capital, you risk the possibility of a default judgment. The deadline to respond depends on your court. New York gives you 20 days to respond to the complaint if a copy was handed to you. For most other methods of service, you have 30 days after service was complete. A call to the funder, a financing application, or settlement talks do not extend the court deadline. If you don’t appear, the funder can ask the clerk for a default judgment for a fixed sum. Plus, the judgment interest rate set by New York law is generally 9%. In some cases, your attorney may be able to have the default judgment vacated so that you can participate in the case. This is not always the case, however. You have one year from the time you were served the judgment and written notice of its entry to ask for it to be set aside for an excusable default in New York.
2. A confession of judgment
Some contracts have a confession of judgment included in the terms of the agreement. If a confession is filed, you give your consent to have judgment entered without having the opportunity to defend yourself. New York requires confessed judgments to be filed in the county where the defendant lives or their business has a place of business. The confession must be filed within three years after the affidavit was signed. Laws are different in every state, and just because a confession was collected and filed doesn’t mean it will be upheld. Look over the actual papers signed and what was filed in court. A challenge may not stop collection.
3. The funder wins on the papers
If you file a response to the complaint brought by the funder, it’s still possible that they will win. Principis Capital may believe that it will win before a full trial and file a motion for summary judgment. Principis Capital v. I Do, Inc. (2022) is an example. An appellate panel in New York granted Principis summary judgment and dismissed the borrower’s defenses and counterclaims. Therefore, answering is not enough. Later discovery requests, conference dates, motion deadlines keep coming. Counsel needs accurate records and updates on payments and new notices.

4. Your defense holds up
You need to be aware that there are defenses you can assert in response to a lawsuit filed by Principis Capital. There’s no such thing as an automatic defense. What do you actually owe? How much was actually funded to you? If Principis Capital alleges there’s a personal guarantee, find it and see what the allegations are as to what triggered it. Also check to see how each defendant was served and whether the court has authority to decide the lawsuit. What does any forum selection clause or arbitration clause say? Being out of state alone isn’t usually enough for dismissal. Another possibility is that the agreement was not an advance, but rather a loan. An agreement is not an advance automatically. New York looks at a reconciliation provision, a fixed term of repayment, and the recourse the funder has if the merchant files bankruptcy. Even more important is a case from New York’s highest court from 2021. It found that a loan that was proved criminally usurious was void. The lender couldn’t collect the principal or interest.
5. A negotiated settlement
Even if you have defenses, you can’t know with certainty that they will be strong enough. However, your defenses can put you in a strong position for negotiating with the funder. Your lawsuit doesn’t always have to go to trial. Weigh the offer up against your defense, the state of your cash flow, and other creditors. Offers can be alluring, but a low monthly payment can still leave a large balance over time. And then default could lead to other trouble.
Any settlement must be put in writing. Before you pay, make sure the document you sign says the dollar amount and the dates of payment. Do the calculations so you can be sure any amounts already collected are accounted for. Find out if all agreements are included in the settlement. See if the agreement says personal guarantees are part of the settlement. What happens to the lawsuit itself? Does it say that any bank restraints and UCC filings will be released? What happens after a missed payment? Does the merchant have a chance to cure? Is an additional judgment allowed after a missed payment? Negotiations with one funder won’t automatically resolve every MCA. Keep separate records per agreement and case.
6. Bankruptcy
Many business owners don’t think of bankruptcy as an option. Sometimes it is. As soon as a petition is filed, the automatic stay begins. It stops most collection and enforcement of judgments for debts from before the case starts. A subchapter V Chapter 11 is an option for businesses whose total debts on the filing date are $3,424,000 or less. Bankruptcy is a big step. Before deciding, talk with a lawyer about what filing means for the lawsuit, other creditors, and the business.
Talk to a Lawyer Before the Deadline
Save the summons and complaint you were served with, plus any exhibits and the envelopes they came in. Make note of every defendant, the plaintiff, court and index number. If service was disputed, write down what actually happened and when. Gather any agreements you signed, your payment history, and your bank statements. Talk to a lawyer before the deadline to respond to the complaint.
A free contract review costs nothing and takes a day or two. Call (888) 837-7053, or send the agreements to Delancey Street for a straight read on your options.
