In the United States, merchant cash advances are used by millions of small businesses. They are a popular financing tool among businesses that are unable to qualify for other sources of capital—and they can also present risks when the merchants that utilize them don't fully understand how they work. When Can a Merchant Cash Advance Company Take Legal Action?

Merchant cash advance companies' goals are twofold: recovering their money (and a substantial profit), and reducing their risk of loss. As a result, they typically insert contract terms that substantially limit the merchant's rights. If the terms of the agreement favor the MCA company to such an extent, it may qualify as a violation of state or federal law - issues including breach of contract, usurious lending practices, lender liability, the federal Truth in Lending Act (TILA), and the Racketeer Influenced and Corrupt Organizations (RICO) Act can support counterclaims.

In almost all cases, merchant cash advance companies take legal action when they believe they have the right to do so. They don't simply pursue legal action in the hopes of recovering funds; they engage their attorneys to defend their right to do so. These are complex legal matters.

In civil litigation related to MCAs, it is often alleged that the small business owner failed to disclose relevant financial information to the merchant cash advance company (misrepresentation or omission); committed to daily repayments or other fees it knew it could not pay, or based on a forward-facing profit calculation (unconscionability); entered into an agreement with multiple merchant cash advance companies (otherwise known as stacking MCAs); requested a contract with one merchant cash advance company while in a dispute with another; utilized its merchant account with one company to settle debts with another; made misrepresentations on the merchant cash advance company's application forms; failed to properly account for its financial obligations; or unlawfully interfered with the merchant cash advance company's rights under the Uniform Commercial Code (UCC).

Claims against the merchant cash advance company can allege that it attempted to modify a traditional loan by concealing it as an MCA (usurious lending), fraudulently enforced one of its rights or remedies (fraud or lender liability), or exercised its rights under the UCC improperly.

Aggressive Debt Collection Tactics

The mere fact that a merchant cash advance company is pursuing a claim may be reason for concern. Most use aggressive debt collection tactics - including the freezing of bank accounts - so a strong response is required. When a merchant cash advance company exercises its UCC rights, it can potentially freeze your merchant account, and small business owners may be left without an adequate means of support. Merchants must be prepared to protect themselves when disputes arise. These claims can be defended against, but only if you act quickly.
