A factor rate is like a magnet: it attracts attention from merchants, sales agents, and even some experienced brokers. When small businesses review an MCA agreement, the first - and often the only - number they look for is the factor rate. But the rate alone doesn't tell you everything. An MCA contract is full of other provisions, often buried deep in the language and overlooked, and many of them protect the merchant as much as the funder. Any deviations from what is in the contract, or misstatements from the funder, must be memorialized and added to the document in writing.
Instead of thinking in terms of the lowest or most "business-friendly" advance, think in terms of control provisions, an absence of ambiguous legalese, detailed risk disclosures, fair arbitration terms, and transparency on funding timing.
The clauses to read
The definition of "account"
The terms under which the funder has control over your bank account are rarely disclosed. In a pure receivables purchase, an ACH debit authorization should give the funder a right to remittances - and nothing more - until the funding is repaid in full.
Restrictions on additional MCAs
Watch for subordination and consent provisions governing whether you can take another advance, and what claims other funders waive or retain when you do.
Default provisions
Whether the contract is fully documented in all its necessary parts before you execute it matters - and a business owner must be allowed to respond to reasonable objections about contract terms.
Confession of judgment
COJs are enforceable if they comply with state law - advance notice, proper signatures, appropriate authentication, accurate identification. Any inaccuracies in the judgment may be enforceable only in part. A COJ means the borrower gives up the right to challenge the claim in advance and authorizes the court to enforce a judgment in an expedited way if a default occurs. These clauses raise due process and fairness issues, as borrowers can face judgment and liens without proper notice or a chance to defend themselves; some states restrict their use, and courts may closely examine whether such waivers were voluntary.
Guarantor's waiver
Most jurisdictions allow creditors to enforce advance agreements against someone who guaranteed repayment. The ruling will often depend on the language in the contract, whether notice was provided, and how a court decides to enforce default penalties and liquidated damages.
Security interest and UCC filing
Cash advances typically take a security interest in your receivables and future bank deposits.
Liquidated damages
This provision is subject to interpretation by state law and what the parties included when they signed. A court may limit how much can be collected because state laws require these clauses to specify limits on additional damages - some states have very narrow or no recovery limits.
Arbitration
Review whether the provision is one-sided and what rights it waives.

On usury
MCAs claim they are structured as commercial transactions not governed by loan agreements and thus not subject to traditional usury caps. Many agreements contain usury savings clauses. But state usury law may still invalidate provisions if the MCA is determined to be a loan in disguise - and determining whether an agreement is an MCA or a loan depends on its content, not solely the labels used.
On negotiating
As with any commercial contract, a business owner should negotiate their MCA's terms. Key areas: how payment is defined (daily vs. weekly, fixed vs. fluctuating), reconciliation rights (whether true-up calculations are mandatory or discretionary), events of default and their consequences, guarantees and whether personal assets are involved, acceleration, venue and governing law, and any late fees or penalties.
On renewals
Renewal documents often revise the funding structure - the amount advanced, the split percentage, payment frequency. Examine provisions related to events of default, as these may have changed to favor the funder in subsequent MCAs. Payment obligations must be clearly defined in the new agreement, and any clause describing how proceeds must be allocated may have shifted in the renewal.
On late fees
If charges are reasonable and reflect a genuine effort to reimburse the funder for administrative costs related to the late payment, they are typically enforceable. Courts may find them unreasonable if punitive - designed to punish, or applied to the entire advance rather than only the overdue amount - in which case they may be classified as illegal penalties.
