Vacating an MCA confession of judgment: the defects, the procedure, and the clock

You did not get sued. There was no summons, no answer, no motion practice, no hearing. You found out when the bank told you the account was restrained. That is the confession of judgment doing exactly what it was drafted to do: convert a signature you gave at origination into an enforceable judgment without ever putting the funder in front of a judge.

The instrument is not gone. It has been narrowed, and a large share of the confessions sitting in county files are defective on their face. The paperwork is produced from templates at volume, by brokers working on commission, in a signing process that takes under an hour. Errors are not rare. Each one is a ground to vacate.

How a signature becomes a frozen account

At origination you signed an affidavit alongside the advance agreement. In it you admitted the debt in advance and authorized a clerk to enter judgment against you if the funder swore you defaulted. No trial. No defense. The funder walked the affidavit and its own affidavit of default into a county clerk's office of its choosing, and the clerk performed a ministerial act.

From there the sequence runs on its own. The judgment is docketed. A restraining notice goes to your bank, and the account holding Friday's payroll stops moving. An information subpoena goes to your processor. Liens attach. You are not a defendant who lost. You are a judgment debtor who was never a defendant.

That is the velocity the industry bought. It is why the confession sat in nearly every advance package for years, and why it still sits in older paper that funders are enforcing today.

What 2019 changed, and what it did not

In August 2019 New York amended its confession of judgment statute to prohibit filing against a defendant who does not reside in the state. The record behind the amendment was specific: more than 25,000 confessions filed in New York courts between 2014 and 2018, roughly $1.5 billion in obligations, imposed on merchants in Texas, Florida, California and dozens of other states with no connection to New York at all. Bloomberg Businessweek documented the practice in 2018. The legislature moved inside a year.

Read the limits carefully, because they decide your file. The prohibition is jurisdictional and it protects out-of-state merchants. A business domiciled in Brooklyn or Buffalo is still fully exposed to the mechanism. And the date matters: a confession filed against a non-resident before the amendment was not prohibited when it was filed, while one filed against a non-resident afterward is void from the start. A void judgment does not become good by being enforced.

A later bill proposing to extend protection further has not passed. For present purposes the confession is a live collection instrument, narrower than it was, and still in the funder's drawer.

Which defects actually vacate a confession

  1. No sworn residence. The affidavit has to state the county where you lived when you signed, or where you lived when it was filed. Blank or wrong is fatal. In Porges v. Kleinman, decided January 16, 2024 in the Kings County Commercial Division, a confession was held unenforceable on precisely that omission. The defect was formal. The consequence was total.
  2. No wet ink, no notary. The statute contemplates a signature you actually executed and had notarized. Electronically pasted signatures and notarizations performed by someone who never watched you sign are attackable.
  3. Stale filing. Filed more than three years after execution, it is out of time. Funders sit on paper. Check the two dates before anything else.
  4. Wrong defendant, wrong venue, wrong amount. A confession entered against a non-resident after August 2019 is void. An affidavit of default that overstates the balance, or that includes default fees not authorized by the agreement, undermines the amount entered.

None of these require you to prove the advance was unfair. They are arithmetic and paperwork. That is what makes them the fastest lever on a file where a judgment already exists.

Motion or plenary action: how the challenge gets brought

Vacating is not always a matter of filing a motion in the case, because there is no case. In Capitalize Group LLC v. Empire Core Group LLC, decided September 9, 2025 in the Westchester County Commercial Division, the court held that vacatur of a confession requires a plenary action rather than a motion.

That holding cuts two ways. It costs more, and it takes longer than a motion would. It also gives you the full machinery of a lawsuit: pleadings, discovery, a chance to put the funder's origination file and its default arithmetic on the record. Funders that were content to hold a docketed judgment are often much less content to litigate how the affidavit was produced.

Practical order of operations: get the docketed judgment and the confession itself from the county clerk, compare the execution date to the filing date, read the residence line, then decide whether you are moving to vacate or negotiating with the vacatur argument in your hand. Many files resolve in the second posture. The construction company that settled $95,000 for $45,600 did not need a ruling. It needed the funder to understand what a ruling would cost.

When a New York judgment follows you home

A judgment entered in New York can be domesticated in the state where you actually operate, and once it is, it works like a local judgment. Bank levies. Liens. Garnishment of receivables on active jobs.

Domestication is a filing, not a formality, and you get to object. Lack of personal jurisdiction in the originating court is the primary ground, and it is exactly the ground the 2019 prohibition hands a non-resident merchant. If the New York court had no power to enter the judgment, the receiving state has nothing to enforce. Some states also entertain challenges on fraud, unconscionability and public policy. California, which has not adopted the uniform act, runs its own recognition requirements.

The mistake merchants make is treating the domestication papers as a copy of something already decided. They are the one clean opportunity to raise jurisdiction in a court that is not New York.

What funders use instead now

The industry adapted within weeks. In current paper, the same speed is assembled from parts: a forum selection clause locking litigation into New York or New Jersey, a choice of law clause applying New York law to a purchase of receivables, an arbitration clause naming a provider the funder uses repeatedly, a service of process waiver permitting service by email to the address on file, and a default pipeline where the complaint is generated from a template the week you miss.

The outcome resembles a confession with extra steps. Thirty days after a templated complaint lands, there is a default judgment if nobody appeared with New York counsel. Your local attorney cannot appear. Most owners never learn that until the levy.

So read the whole package, not only the confession. If a confession is in there, it is the fastest thing to attack. If it is not, the forum and service clauses are where the same speed is hiding.
