Kinetic Direct Funding LLC Filed Suit: 7 Questions to Answer Before You Respond

Read the venue clause in your agreement before you assume where this case belongs. Many advance contracts pick a court hundreds of miles from the merchant. Where the case sits changes the cost of defending it and the leverage in any settlement talk. Then work through the six questions that follow.

When Kinetic Direct Funding sues a business or its owner, there are questions to ask before any answer is sent. Who was served and what was filed, how many days to respond, who can answer for the business, does the cash advance balance hold up, can defenses and service be lost, has a judgment or restraint already come down, and what must a settlement say?

1. Read what was filed

Start by reading what was filed, particularly the legal papers that came in any envelope titled “summons and complaint” or similar language. The title may not use those words, but the document itself will say who sued and who it says it filed against. To use in court or work a settlement, you will need the complaint, a copy of the summons, the exhibits, anything else filed, and the envelopes everything came in. Check that the defendants match the people or entities you know, and save a list. Sometimes there is more than one. Also make note of the index number and court name, the filing date stamped on each document and file stamp from the court. There can be an affidavit of service on each defendant with a different due date.

2. Find your real deadline

The papers will say when you need to appear or respond to the court. But make sure you have the real deadline for answering what came in. In New York for instance, if the defendant was served personally in New York State, count twenty days from the date shown on the affidavit of service. If service is “nail and mail” or it was made outside New York, you have thirty days after service is complete. If a defendant does not answer by the deadline that fits the complaint and summons, a judgment may go down without any real contest.

3. Decide who answers

Every defendant must answer or be at risk for a judgment, and of course one defendant answering does not protect the others. An attorney can answer complaints, but if the defendant is a company, only an attorney can answer by rule. Neither business owners nor regular employees may formally or properly answer for the business in writing. It seems apparent, but some people learn too late that companies or brokers working with the merchant to resolve the cash advance are not going to protect the borrower in court with a lawyer when there is a suit.

4. Test the claimed balance

The claims in the complaint will show how much is said to be outstanding on the receivables purchase or merchant advance loan. Defendants must carefully run the figures in the complaint to test whether the math holds up or breaks down. Start by comparing the advance payment, the amounts debited and those returned as revoked payments. Separately list the fees. Before it led to a suit, had you asked for a reconciliation and worked with your advance provider on a response? How did the provider respond?

Calling something an advance or a loan does not decide what it really is. Judges look at the whole deal and the rights and duties of each side. If it works out to more than twenty-five percent interest a year, it can be a criminal usury offense.

5. Protect your defenses

Mistakes made serving the complaint on a defendant personally or by other methods can matter, but only if the defendant makes the objections properly and in time. Some such defenses can only be raised in the first responsive papers, either in the answer or a pre-answer motion, and they are lost if the first response does not have them.

Contract clauses saying where to litigate and where governing law comes from often confuse people. Just because a defendant is outside New York does not stop the plaintiff from claiming that a case belongs in New York. Rules on where the case belongs are a complex business, and defendants who decide for themselves where the case belongs have to be very careful. You need to think about your options before you commit to anything or send money and decide how you want to answer.

6. Check for a judgment

Just because a defendant has not heard anything does not mean that there was not a judgment. Defendants need to check that a default judgment has not gone in already against them personally or their companies before a deal or payment can be considered. If a judgment is in place, options change.

New York default judgments are as enforceable as any other judgment. They charge interest right away at 9% a year. In New York, the presumption of payment takes 20 years. They may be renewed or extended to survive even longer if the debtor pays part or acknowledges the debt in writing. On excusable default, a defendant can take the step to vacate a default judgment through a court application within one year of service of the judgment with notice of entry. You will likely do better if you start right away.

Also check for a restraint: a UCC is one thing and a restraint is something else. If they come for the money, it helps to know who is behind the documents that close your doors or stop your ability to trade. There is more to think about than simply moving accounts or switching banks as soon as you see this kind of document.

7. Read the settlement terms

A settlement can of course leave the parties in different positions, but in many cases where the borrower merchant faces down time or the potential for a loss of bank access, what the settlement actually says can be as important as the money itself. Who are the parties? What do they say they are doing? How much is left and how do you have to pay? Terms need to be specific. Make sure that a settlement means that plaintiff will make an appropriate disposition of the case, so that the suit ends with the final settlement deal. You want to make sure that a settlement will include an affirmation of payment and a satisfaction of judgment or lien. Leaving room for further decisions or working out further points can let one side argue another was in breach and get out of the settlement contract that you thought you had settled on. It can be vital to get everything you agreed in writing.

If the business owner was named, the settlement should release the person from all the claims, debts, and obligations. Leaving anything out could make the owner keep the obligation. Several cash advances may also create different issues and come into conflict with each other. The deals and the lawsuits don’t always come in the same order, or with the same people involved, and each one needs its own ledger.

Defendants lose opportunities by rushing in or letting others without legal training advise on the answer.
