Kansas City presents unique opportunities and unique pitfalls when it comes to settling business debt. Why the Map Matters Here

Kansas and Missouri are not typical usury states. For corporations, general partnerships, and LLCs, Missouri law permits a written agreement on any rate of interest, and Kansas exempts transactions entered into for a business purpose from its usury law (Kan. Stat. Ann. § 16-207(b)(3)). But most MCA contracts do not attempt to enforce payments in Missouri or Kansas courts. They cite New York law and place disputes under the jurisdiction of the New York court system.

Why does this matter? Because in New York, rates exceeding 25% can be criminally usurious - a concept found nowhere in the laws of Missouri or Kansas. This difference presents a unique risk and an equally unique opportunity. When courts in New York closely examine whether the so-called purchase and sale agreement was really a loan with disguised interest, they look to the real relationship between the parties - whether there was truly a transfer of risk - and analyze substance over form. A written agreement giving a factoring company recourse (full repayment upon bankruptcy, for example) may, on close review, provide a valid usury defense. Every advance, every notice of default, and every claim for daily automatic withdrawals can play a role in how a judge assesses what was really agreed to.

Where litigation happens - Kansas City, Kansas; Kansas City, Missouri; or a New York court - has consequences for your defenses and the evidence available to prove them. Venue for potential litigation is a leverage point.

The Process

Review all your company's documents first

Every purchase agreement, payment demand, invoice, and correspondence. If the agreement is disguised as a purchase but functions as a loan, the first question is whether it is legally enforceable - and the documents will show whether it was a loan: how money was provided, how much was demanded, on what schedule, and whether the contract actually transferred risk or imposed automatic repayment without a meaningful adjustment provision. A lender can threaten whatever they want in a phone call; in court, the judge will examine the signed agreements and real records.

Respond before a judgment is entered

By acting before the collector files a formal complaint, you gain control of the timeline and increase the options for a legitimate settlement. A well-constructed defense at this stage helps stop daily ACH withdrawals and provides leverage to ask the lender to accept a settlement based on the real money they can collect, not on threats.

Know that some settlements are bad by design

Bad settlements happen when a collector knows the other party will sign anything to be done with it. A bad settlement doesn't reduce debt sustainably, and it doesn't fully resolve claims that may resurface in the next lawsuit. Check for lien releases, reconciliation provisions, dispute clauses, and a true reduction in the enforceable balance - not temporary suspensions or waivers contingent on things the merchant cannot deliver.

Document all collection activities

Lenders who threaten criminal action, or try to enforce liens in Kansas or Missouri courts despite the agreement placing jurisdiction elsewhere, open themselves up to compliance actions. Business records, court filings, and public complaints of overreaching collection efforts can become evidence.

The Regulatory Gap - and Why It Cuts Against You

Kansas law defines a consumer as an individual who is a resident of the state. Missouri's Debt Adjusters law applies only to individuals, and is very narrow. Business entities - LLCs and corporations - are not subject to the same rules, or sometimes the same protections, as individuals when it comes to advance fees, attorney exemptions, licensing, or advertising.
