Demand letters from collection agencies, Fundbox representatives, and other entities aren’t filed with a court. Lawsuits begin with the filing of papers like the Complaint and Summons. They’ll say who’s suing you (the plaintiff), what they’re suing you for, and what their proposed relief is, typically payment plus any penalties, interest, late fees, and so on that have accrued. Lawsuits, for that matter, have to be dealt with in order to avoid a bad default judgment. And in some cases, the borrowers who ignore these letters for too long can end up getting sued.

If you don’t show up, you’ll get a default judgment against you that can come back to haunt you, either immediately or far down the line if you actually get ahead at some point. Every state provides a short (in some places very short) window to act once the court filing hits. One way to act is to hire legal representation to defend the lawsuit for you. The other is to represent yourself. In either case, a proactive response will be needed.

A Formal Demand Letter

Demand letters give the amounts owed, periods unpaid, when repayments started, and other relevant details. They’ll also mention penalties and fees and describe any actions Fundbox will take to force payment. These can include debt collection via a third-party agency or even legal action. At a certain point, the language may get harsher: “Your account has fallen behind on its payments for the (time frame here). Failure to correct your balance may result in our taking legal action against you.” This does not mean you’re being sued. Note the words “may result in our taking legal action against you.” This means legal action isn’t currently being taken against you. This gives the debtor an opportunity to negotiate, settle the debt and otherwise reach an arrangement that’s better than merely ignoring the letter.

A formal demand letter also states the total due and demands payment by a date certain, generally declaring the whole balance accelerated (i.e., missed installments become one amount due now). Any cosigner or guarantor gets a parallel letter.

Once the complaint is filed, though, you lose some of the leverage you might have had before to negotiate for favorable settlement terms. If the lender has taken the step of filing a complaint and paying for its filing and service fees, that means the lender is prepared to move forward on legal costs and has taken a fee claim. And the longer the borrower waits for a loan workout, the more the legal fees and default interest keep accruing. The Fair Debt Collection Practices Act covers only debts taken on mainly for personal, family or household purposes, so it’s not usually a source of protection against business debt.

If the letter threatens legal action and demands that you pay, put a good calendar notice on the date due. After that date passes, the next notice may be a summons. Compare the notice against your loan documents to confirm the default is real and that any cure period (if the loan gives you one) was given correctly. Preserve any records of payment, and don’t delete or lose anything that counts as evidence. Any workout or payment deal with Fundbox should be in a signed writing, because a verbal promise to hold off while you make changes in your business may not be enforceable.

Keep in mind that Fundbox’s draws usually are repaid within 24 weeks, and you sign a personal guarantee. A missed payment shows up quickly and Fundbox can sue you for the money and collect from your personal assets, after a court judgment.

The Official Notice That You’ve Been Sued

Luckily, the difference is really easy to see, because court notices typically bear the name of the court and the state where the lawsuit was filed. Court notices will also tell you a lot more than a collection letter does: when you’ll need to file paperwork, or when you’ll be summoned to court, for instance.

A summons is the official notice that you’ve been sued and sets out the deadline for responding. An email or letter, though ominous, is not a summons. If papers were sent to a registered agent instead of your home address, you can be sued without knowing about it.

For a federal summons to be proper,

  • it has to name the court and the parties in the lawsuit,
  • it must be addressed to you as a defendant,
  • it must give the name and address of the plaintiff’s lawyer,
  • it has to say how many days you have to respond,
  • it has to warn you that if you do nothing, you could end up with a judgment against you,
  • it has to be signed by the clerk, and
  • it must bear the court’s seal.

Finally, it has to be served together with the complaint. If there’s no indication that you’re being taken to court, or if the paperwork doesn’t have a court name, then you’re probably being demanded to pay and not sued.

You need to make absolutely certain whether you’re being sued, and sometimes that can be done with a quick check of the court docket online (if the case was filed at the federal level) or a phone call to the court clerk in the jurisdiction where you believe you’re being sued. PACER searches federal cases nationwide. Documents run a dime a page, with a $3 maximum per document, except that if you spend $30 or less in a quarter, it’s free. The fees are set to rise on January 1, 2027.

Make sure to note the date you received the summons and complaint. The easiest way to find your deadline is to simply read the summons and see if it gives you one. On the federal side, you typically have 21 days to respond to a summons. Count every day, including weekends and legal holidays, and the first day of the count is the day after you were served. If the 21st day is a Saturday, Sunday or legal holiday, it moves to the next day that’s not a Saturday, Sunday or legal holiday. Or if you waived service on time, you have 60 days to answer, using the count described above, starting with the day after your waiver request was sent.

If you miss the deadline, you might lose the lawsuit by default. The court could rule on the case without hearing your side of it. A federal court clerk can enter a default judgment against you for a fixed amount plus costs if you never appeared and the creditor produces an affidavit showing the amount due. Judgment will be collected by writ of execution, following procedures of the state where the court sits. At that point they may be able to get an order to garnish your wages or freeze your bank account. In California, for example, lenders can take your paycheck and money in your bank account as well as put a lien on your property. But if you appear in court, you’ll get 7 days’ notice in writing before any default judgment hearing.

A money judgment starts a new phase of the process. The lender can now record it, get writs of execution and garnishment, and use post-judgment discovery to hunt down your assets. And a lender can pursue guarantors individually, which is typically the best way to collect, because the business itself may be insolvent by then. Not all your assets are fair game, though. Some are protected by exemptions. Finally, if you file for bankruptcy, then the analysis changes entirely.

Legal Help

Waiting to get legal help is the most common, avoidable mistake after a complaint’s filed. Once you’re sued, also check the loan documents for a clause naming the court. Courts usually uphold these terms. Many owners hire counsel even at the demand stage, knowing that if they eventually get sued, the clock will be ticking. As a rule of thumb, it’s good to consult a lawyer if you know you’re going to be dealing with a lawsuit where personal guarantees are involved.

Creditors typically prevail on the documents’ own terms. Many defenses don’t stand up under serious questioning. Defenses with weight can refer to the lender’s paperwork and procedure:

  • a defective default notice or improper acceleration,
  • who owns the note if sold or assigned,
  • the time limits on suing,
  • documented payment or release, or
  • miscalculated balance, including default interest or fees.

If sued and the loan was sold or assigned, don’t assume that the note was transferred correctly. If the lender can’t prove it owns the note, you can win. Settlement pressure can run both ways once a suit is filed. A lender facing a legitimate defense, for instance, has its own costs and risks to face.
