Funders do not file at random. Perfecting a security interest is a small legal task with prerequisites, and the prerequisites are visible from your side if you know what they look like. Six signs, ordered by how little time each one leaves you.
They ask you to confirm the exact registered name of the business
This is the last step before a filing and the one nobody recognizes. A representative emails to confirm your legal entity name, the state where it was organized, the EIN and the registered address. It is framed as updating the file or verifying records.
A financing statement is indexed by debtor name and searched by debtor name. Under Article 9 a filing against a registered organization has to use the name shown on the public organic record, and a name that is wrong enough to be seriously misleading can leave the filing ineffective. Funders that file in volume have been burned on this, so they check the name against the Secretary of State before they submit anything.
If a collections contact suddenly needs your certificate of formation or your exact state of organization, the filing is being prepared this week. That is your notice, and it is generally the shortest notice on this list.
You get a notice that your account has been assigned to someone else
A letter or email arrives saying servicing has moved, or that the advance has been assigned to a name you have never dealt with. Payment instructions change. The tone is administrative.
A party that buys a distressed advance does not inherit anyone's comfort with an unperfected position. It perfects its own, either by filing a new financing statement in its own name or by filing a UCC-3 amendment recording the assignment against the existing one. Either way, a new secured party name is about to appear against your entity.
Two practical consequences. The negotiation resets, because the new holder bought at a discount and prices settlement against what it paid rather than against the original face amount. And the identity of the secured party of record changes, which is the detail that later sends termination demands to the wrong company. Write down the new name, the date of the notice and the contact on it, and keep the letter.
The demand letter starts describing your equipment and your accounts
Ordinary collections correspondence talks about the balance and the missed debits. Read the next letter for a change of vocabulary. When it starts referring to accounts, inventory, equipment, general intangibles and proceeds, someone with a security interest checklist is now drafting the correspondence.
That phrasing is not written by a collections representative. It is lifted from the security agreement, and it is the same string that will appear in the collateral description of the financing statement. A letter that quotes it is a letter drafted alongside the filing.
The same letter often carries a second tell: language reserving the right to notify your account debtors. Where a funder claims your receivables, notice to the customers who owe you is a step it can take, and mentioning it is usually a preview rather than a bluff. If your customer list is the asset holding the business together, this is the sign to act on today rather than at the end of the month.
Your renewal is declined and nobody offers you anything else
Funders make money on renewals. While you are a renewal candidate, an aggressive filing against all of your assets is inconvenient, because it complicates the next deal and it tells other funders in the market that your paper is impaired.
So the day you are marked as non-renewable, that restraint disappears. The commercial reason not to file is gone, and the file moves from a relationship the funder wants to continue to a balance it wants to recover.
The tell is specific: a declined renewal with no counter-offer at all. A funder that still wants the relationship offers a smaller amount, a longer term, or a modified draw. Silence after a decline means the file has been re-categorized. That usually gives you weeks rather than days, and weeks is enough to get the agreement read and a reconciliation position on the record before anything is perfected.
The person who used to call you has been replaced by someone else
Your servicing contact stops responding. New emails come from a recovery, remediation or legal department, or from an outside law firm you have never heard of. The signature block changes and so does the register: fewer questions about your week, more references to your obligations.
That handoff matters because filing a financing statement is a legal task, and it happens once someone with that authority owns the file. The servicing representative could adjust a debit. The recovery desk is measured on recovered dollars, and perfecting a claim on your assets is one of the cheapest moves available to it.
Do not read the change as a stall. Read it as an escalation with a budget attached. The useful response is to find out, in writing, who now holds the file and what authority they have to settle, because the recovery desk is also the desk that can accept a number. The clause that lets them file was in the agreement you signed
The final sign is not an event. It is a paragraph you have not read. Nearly every MCA agreement includes a clause in which you authorize the funder to file financing statements describing the collateral, at any time, without further signature or notice from you.
That clause is why there is no warning letter and no separate consent form. Authorization was given on day one. Whether the funder files on day one, day ninety or the day after a returned debit is a business decision, not a legal obstacle.
So the first thing to do is find out whether it has happened already. Search your exact registered name at the Secretary of State where the entity was formed, and search any predecessor or trade name. Many owners discover a filing that has been sitting there since funding, in the name of a servicer they do not recognize.
Then read the collateral description against the money you actually received. A funder that advanced against card receipts and filed against your trucks, tools and customer contracts has claimed more than the transaction supports, and that width is a negotiating point while the balance is still open.
